Expenditure
Usually, Going Public demands a high financial involvement of the corporation, what can add up to millions of Dollars. With our process, however, expenditure can be cut down to a reasonable minimum. EuroAmerican Corporation's consulting fee is sharply calculated and guaranteed through the whole process, this creates certainty for the client's budget planning.
This is a summary of the typical expenses and fees that go along with the process. Included in our contract are most of the costs for Going Public:
● To list your company on the exchange of choice and to do the Stock Offering. ● Fees for legal work and SEC attorneys. ● To arrange for a minimum of three brokerage firms (Market Maker) to open trading and create a market for stock for the American Public Company. ● Consulting and travel expenses for our Attorneys, Accounting Personnel, Investment Banker and other supporting professional service. ● Complementary Consulting Services to the client for a period of six month after the Listing.
The following costs are not included; they have to be paid directly to other professionals as they occur. These costs can vary significantly depending upon the circumstances of the offering:
● Costs to acquire all tax and corporate documents (including the US-GAAP audit) required. Accounting and Auditing fees generally range from US$ 15,000 up to more than US$ 100,000 depending upon the size of the company, the condition of records, and the number of years required to be audited.● Commission to obtain a Firm Commitment from one or more brokerage firms. This commission ranges between 5 and 8% of the offering amount and is paid out of the proceedings of the offering.● Costs for PR and Promotion, e.g. the Road Show.● Listing and Registration Fees (NASDAQ) / (NYSE)● Prospectus printing costs
